1. Acceptance

By using this website operated by Geaux File LLC ("Geaux File," "we," "us," or "our"), you agree to these Terms of Service ("Terms"). If you do not agree to these Terms, do not use this website.

2. What this site is

This V1 site is a static marketing site for Geaux File LLC's regional registered-agent service in Louisiana, Mississippi, and Alabama. This site does not host a customer portal, does not process payments, and does not accept signed legal documents.

To engage Geaux File LLC as a registered agent or to obtain a quote, use the contact link, which opens your email client to agent@geauxfile.com.

3. Not a law firm

Geaux File LLC is NOT a law firm and does NOT provide legal advice.

Our services are administrative in nature. We cannot represent you in legal proceedings, provide legal opinions, or advise on legal strategy. If you need legal advice, please consult a licensed attorney in your jurisdiction.

4. Description of the registered-agent service

When customers engage Geaux File LLC as a registered agent under a separate engagement, we provide:

  • Acceptance of service of process and official mail at the agent address of record in Louisiana, Mississippi, and Alabama, during normal business hours
  • Forwarding of received documents to the customer using the contact information on file
  • Reminders for annual-report and registered-agent renewal deadlines
  • Assistance preparing Change-of-Registered-Agent filings with the applicable Secretary of State

It is the customer's responsibility to respond to legal documents on time. Geaux File LLC is not responsible for the consequences of a customer's failure to respond to a document we forwarded.

5. Customer obligations

When you engage Geaux File LLC as your registered agent, you agree to:

  • Provide accurate and complete contact information and keep it current
  • Use Geaux File LLC's registered-agent service only for lawful purposes
  • Pay the agreed-upon annual registered-agent fee
  • Notify us promptly of any change to your business entity, mailing address, or contact information

6. Fees and billing

The annual registered-agent fee is set out in the engagement record and is billed separately by invoice or by an approved third-party payment processor. Fees are not refundable for unused portions of a prepaid term except where required by law. Geaux File LLC may revise its fees on notice to the customer for future renewal periods.

7. Term and termination

Registered-agent engagements run on an annual term. The customer may end the engagement by designating a replacement registered agent with the applicable state and notifying us in writing. Geaux File LLC may end the engagement on notice for non-payment, breach of these Terms, or use of our service for unlawful activity, in which case we will file a resignation with the applicable state. The customer is responsible for keeping a registered agent on record with each state in which it is organized.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEAUX FILE LLC'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE REGISTERED-AGENT SERVICE SHALL NOT EXCEED THE AMOUNT THE CUSTOMER PAID GEAUX FILE LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

9. Indemnification

The customer agrees to indemnify and hold harmless Geaux File LLC, its officers, directors, employees, and contractors from any claims, damages, losses, or expenses arising from the customer's use of our registered-agent service or violation of these Terms.

10. Governing law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in St. Tammany Parish, Louisiana.

11. Dispute resolution

Before initiating any legal action, the customer agrees to contact Geaux File LLC first to attempt to resolve the dispute informally. We will make good-faith efforts to address concerns within 30 days.

12. Modifications

We may modify these Terms. Material changes will be posted on this page and the "Last updated" date above will be revised. Continued use of this website after a change takes effect constitutes acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire agreement

These Terms, together with our Privacy Policy and any signed engagement record between Geaux File LLC and a specific customer, constitute the entire agreement between the customer and Geaux File LLC regarding use of this website and the registered-agent service.
