These Terms of Service ("Terms") govern your use of the services provided by Geaux File, LLC ("Company," "we," "our," or "us"). By using our services, you agree to these Terms.

1. Services

Geaux File provides business services including but not limited to:

• Registered agent services for Louisiana, Mississippi, and Alabama business entities
• Business formation assistance
• EIN application services
• Domain registration and website hosting

2. Account Registration

To use certain services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials.

3. Payment Terms

Payment is required at the time of service purchase. All fees are non-refundable unless otherwise stated. For recurring services (such as registered agent services), you authorize us to charge your payment method on the applicable renewal date.

4. Registered Agent Services

As your registered agent, we will:

• Maintain a registered office during normal business hours
• Accept service of process and official documents on your behalf
• Forward received documents to you promptly via our digital dashboard

Annual registered agent services are billed on a yearly basis. If payment is not received, services may be suspended, and we may resign as your registered agent after providing required notice.

5. Customer Responsibilities

You agree to:

• Provide accurate and complete information for all filings
• Provide your complete legal name as it appears on government-issued identification (required for Secretary of State filings)
• Keep your contact information current
• Respond promptly to communications regarding your account
• Use our services only for lawful purposes

Important: Incomplete or inaccurate information may delay or prevent service fulfillment.

6. Limitation of Liability

Geaux File provides document filing and registered agent services. We are not a law firm and do not provide legal advice. Our liability is limited to the fees paid for the specific service in question. We are not liable for any indirect, incidental, or consequential damages.

7. Service Modifications

We reserve the right to modify, suspend, or discontinue any service at any time. We will provide reasonable notice of any material changes to services you have purchased.

8. Termination

Either party may terminate services with written notice. For registered agent services, we will comply with statutory requirements for resignation, including filing the appropriate forms with the Secretary of State.

9. Governing Law

These Terms are governed by the laws of the State of Louisiana. Any disputes shall be resolved in the courts of St. Tammany Parish, Louisiana.
